Meditrial Europe Ltd., (“Meditrial”) with address at Bösch 73, CH-6331 Hünenberg, Switzerland hosts and offers disciplined use and access to its online education platform Meditrial Academy (the “Academy” or the “Meditrial Academy”), subject to the terms and conditions set forth in this Agreement. Meditrial and User may be referred to herein individually as a “party” and collectively as the “parties.”

If User does not agree to the Terms and Conditions set forth herein or any part thereof, the only remedy is not to use the Academy. Violation of any of the terms below will result in the automatic termination of User right to use Meditrial Academy and any account that User may have created as part of the Service.

Meditrial Academy’s Terms and Conditions

Following terms and conditions including the Service Level Agreement governs the User’s access and usage rights of Meditrial Academy:


1.1 “Account means an account allowing access to Meditrial Academy, created in the User’s name. Each Account is strictly personal and User is not allowed to share his/her account credentials to third parties.”

1.2 “Confidential Information” means (a) all nonpublic information disclosed or made available under this Agreement that relates to the provision or use of Meditrial Academy or either party’s financial condition, operations or business, and which is clearly identified as confidential at the time of disclosure, (b) Meditrial Academy, (c) the Documentation, (d) the User Information; and (e) the User IDs.

1.3 “User Information” means all data, information or other content entered by User of the Account while accessing Meditrial Academy

1.4 “Documentation” means the online help files and instruction manuals that relate to the use of Meditrial Academy that have been provided or made available by Meditrial to the User.

1.5 “Intellectual Property Rights” means any and all intellectual property rights throughout the world, including, without limitation, any and all copyrights, trademarks, service marks, trade secrets, patents, patent applications, moral rights, contract rights and any and all other legal rights protecting intangible proprietary information.

1.6 “Support Services” means the support services offered by Meditrial, in relation to the use of Meditrial Academy,

1.7 “User ID” means each unique User identification name and password used to access the Academy through the Account.

1.8 “User” means the qualified person accessing and using Meditrial Academy through the User Account.


2.1 User’s Right to Access the Services. Subject to the terms and conditions of this Agreement, Meditrial will provide the User with the right to access and use Meditrial Academy during the term of this Agreement, solely for the User’s own educational and training purposes. User’s rights are non-exclusive, non-transferable and non-sublicensable. User may access and use Meditrial Academy only as permitted by this Agreement. The User acknowledges and accepts that he/she is not and shan’t be at any time, the recipient of ownership interests with respect to Meditrial Academy or Intellectual Property Rights related to Meditrial Academy.

2.2 Restrictions on Use of Services. The User accepts and acknowledges that Meditrial Academy (in source code and object code forms) including, without limitation, the structure, sequence and organization of the same, constitute valuable trade secrets of Meditrial. The User will not, and will not permit any other party to: (a) alter, modify, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of Meditrial Academy or any part thereof; (b) interfere in any manner with the operation or hosting of Meditrial Academy or attempt to gain unauthorized access to Meditrial Academy or any other services offered by Meditrial; (c) sublicense or transfer any of its rights under this Agreement, including, without limitation, providing outsourcing, service bureau, commercial hosting, application service provider or on-line services to third parties, or otherwise make available Meditrial Academy , or access thereto, to any third party; or (d) otherwise use Meditrial Academy except as explicitly permitted by the present Agreement.

2.3 User IDs. The User will be assigned a unique User ID Account to access Meditrial Academy. User acknowledges and accepts full responsibilities for all liabilities incurred through use of any User ID (whether lawful or unlawful) and that any transactions completed under a User ID will be deemed to have been lawfully completed by User. In no event will Meditrial be liable for the foregoing obligations or the failure by User to fulfill such obligations.


3.1 Support Services. Meditrial will use commercially reasonable efforts to provide the support services to the User, as described in Meditrial Academy License Agreement.

3.2 Service Level Agreement. Meditrial will use commercially reasonable efforts to make available Meditrial Academy in accordance with Meditrial Academy Level Agreement. Meditrial reserves the right at any time and from time to time to modify Meditrial Academy and Service (or any part thereof). If Meditrial makes a material change to the Services, Meditrial will inform the User. A 30-day notice will be provided at any time by posting the changes to Meditrial Academy. Meditrial shall not be liable in any way or on any legal basis to the User or to any third party for any modification, price change, suspension or discontinuance of the Academy. Any new features on Meditrial Academy, including the release of new tools and resources, shall be subject to these Terms and Conditions. Continued use of the Academy after any such changes shall constitute the User’s legally binding consent to such changes.


4.1User Ownership. User retains all right, title and interest in and to all the User Information. Meditrial will employ the User’s Information solely to provide support services to the User in connection with the User’s needs.

4.2 Meditrial Ownership. Meditrial retains all right, title and interest in and to, and all Intellectual Property Rights embodied in or related to the Academy and all improvements, updates, and modifications thereto, whether or not made in conjunction with this Agreement. Except as set forth in Section 2, this Agreement does not grant User a license to Meditrial Academy, or to any other software, by implication, by estoppel, or otherwise. The Academy’s name, logo, and the product and service names associated with Meditrial Academy are trademarks of Meditrial or third parties, and no right or license is granted to User to employ them separate from User’s right to use the Academy.


5.1 Services Fees. In consideration of the use of Meditrial Academy in connection with the single courses or complete use of the Platform, User will pay the fees and other payments set forth in the applicable Service Level Agreement and Order Forms (“Fees”) when due.

5.2 Payment.  All fees must be paid in U.S. dollars. Any undisputed invoiced amounts, which are not paid within five (5) days of the invoice date shall be considered past due. User will notify Meditrial of any good faith dispute relating to any fees in writing on or before the date that is five (5) business days after the invoice date. Regardless of any reasonable dispute as to any fees on an invoice, User will pay all other non-disputed fees on such invoice (and all other non-disputed fees on every other invoice) not subject to a reasonable dispute, in accordance with the terms of this Agreement. User’s obligation to pay fees is not subject to a reasonable dispute, will be unconditional and not subject to abatement, set off or defense of any kind. All fees are nonrefundable. Fees exclude all applicable sales, use, and other taxes, fees, duties and similar charges, and User will be responsible for payment of all such taxes (other than taxes based on Meditrial’s income), fees, duties, and charges. Any portion of the non-disputed fees not paid when due will accrue interest at 18% per annum (1.5% per month) or the maximum rate permitted by applicable law, whichever is less, from the due date until paid.


6.1 Term. Unless sooner terminated as provided in this Section 6, this Agreement shall commence as described in the Agreement thereof. The billing process will start as described in the present License Agreement at the moment of User ID release. User may request cancellation of its account by contacting the Support ( User is solely responsible for properly cancelling its account. User is solely responsible for retaining and archiving all Content in its Account (e.g. Certificates), prior to cancelling its account. When canceling Meditrial Academy User account: cancellation will end billing, changes will be immediately effective, all of Academy User information and documents (e.g. Certificates) expire as soon as User cancellation request is received.

6.2 Termination for Cause. This Agreement will automatically terminate if User breaches a material term of this Agreement, and such breach is not cured within five (5) days after User receives written notice from Meditrial of such breach. If Meditrial breaches a material term of this Agreement, and such breach is not cured within five (5) days after Meditrial receives written notice from User of such breach, User may terminate this Agreement upon notice to Meditrial, with immediate service suspension.

6.3 Suspension. Meditrial may suspend the Academy Services, or any portion thereof, or this Agreement for material breach including without limitation any breach of the payment obligations set forth in Section 5, with advance written notice of five (5) business days. Meditrial is not required to refund any fees paid or prepaid after such suspension.

6.4 Effect of Termination or Expiration. Upon any termination or expiration of this Agreement, (a) all rights and licenses granted to User in this Agreement will immediately cease to exist, (b) Meditrial may promptly cease performing all obligations under this Agreement, (c) all access by User of Meditrial Academy will be immediately suspended, and (d) User will pay Meditrial any amounts payable for User’s use of Meditrial Academy through the end of the term.


7.1 User obligations. User agrees to disclose to Meditrial only that portion of User’s Confidential Information that is reasonably necessary to enable Meditrial to provide the Services, and Meditrial agrees to disclose to User only that Confidential Information of Meditrial that is reasonably necessary to enable User to receive the Services.

In relation to any material submitted to the Academy, User has the right to do so and will be solely responsible for all the Contents and activities taken place under the account. User will notify immediately to Meditrial of any unauthorized use of his/her account or any other known breach of security.
User shall be solely responsible for the consequences of posting, publishing, or otherwise distributing contents of the Academy (to this effect User has acknowledged and accepted Meditrial Confidentiality Agreement’s terms and conditions).

7.2 User Conduct. User shall use Meditrial Academy only for lawful purposes and in accordance with these Terms and Conditions of use. User agrees to use Meditrial Academy (or any part of it) in accordance with all applicable laws relevant to the jurisdiction from which User access the Academy. User agrees that in using Meditrial Academy (or any part thereof) he/she will not:

7.2.1 use Meditrial Academy in any way that may lead to the encouragement, procurement or carrying out of any criminal or other activity that violates any applicable federal, state, local and international law or regulation;

7.2.2 use Meditrial Academy in a manner that infringes the rights of another person, firm or company (including, without limitation, the intellectual property rights, confidentiality rights or rights of privacy);

7.2.3 use Meditrial Academy to impersonate or attempt to impersonate Meditrial or one of its employees, another user or person or entity (this includes, without limitation, the use of email-addresses associated with any of the foregoing);

7.2.4 use Meditrial Academy in a way to cause it to be interrupted, overburdened, damaged, rendered less efficient or in a way so that the effectiveness or functionality of Meditrial Academy is impaired;

7.2.5 use Meditrial Academy to send any unsolicited advertising or other promotional material or any form of solicitation by email or by any other means;

7.2.6 do anything that would seek to bypass or interfere with any security features of Meditrial Academy, or interfere with any of Meditrial (or Meditrial affiliated companies) websites, servers, or network;

7.2.7 use any robot, spider or other automatic device, process or means to access the Academy;

7.2.8 copy, reproduce, duplicate any of the material on Meditrial Academy without Meditrial express prior written consent;

7.2.9 phish, collect, upload, post, email, transmit or otherwise make available any login data and/or passwords for other web sites, software or services, credit card information or other forms of financial data used for collecting payments.




9.1 Meditrial will, at its own expense, defend User and pay all costs and damages awarded against User based on any third party claim that authorized use of Meditrial Academy by User infringes any copyright or misappropriates any trade secrets. Meditrial’s obligation will not extend to a claim based on any alleged infringement arising from any: (a) additions, changes or modifications to Meditrial Academy by or on behalf of User; (b) use or incorporation of Meditrial Academy or any component thereof with or into any other service, product or process; (c) User Information or Confidential Information provided to Meditrial by User; or (d) use of Meditrial Academy other than as permitted by this Agreement.


10.1 User Account and User ID are strictly personal and User may not assign, resell or otherwise transfer any goods or services received under this Agreement to a third party without Meditrial’s prior written consent. Any assignment in violation of this Section 10 is null and void.


11.1 This Agreement will be governed by the laws of Switzerland without regard to conflicts of law principles. All disputes arising under this Agreement must be brought in the courts of competent jurisdiction located in Switzerland if brought by User and in User’s principal place of business, if brought by Meditrial. Each party irrevocably hereby consents to the jurisdiction and venue of any such court in any such action or proceeding.

Meditrial Academy Service Level Agreement (SLA)

Meditrial Academy is a user-friendly online education platform to stay updated on the everchanging medical Devices Regulations, Standards, Quality Management and much more. Users can easily access and learn without any technical skills or particular technical requirements. This Service Level Agreement (“SLA”) addresses Meditrial’s performance of the Support Services and the service levels with respect to the Services under this Agreement.

Meditrial Academy Account

  • In order to open a Meditrial Academy Account, you must (a) agree to the Meditrial Academy License Agreement; (b) provide a valid e-mail address; and (c) provide any other information required by Meditrial during the registration process. You will update this information to maintain its accuracy during the term of this Service. You are responsible for maintaining the security of your account and password. Meditrial cannot and will not be liable in any way for any loss or damage (including, without limitation, loss of profits, loss of revenues, loss of business and loss of privacy) whether direct, indirect or consequential, resulting from your failure to comply with this security obligation.

  • You are also solely responsible for all content that you opt to make available on Meditrial Academy (“Content”) and activity that occurs under your Account (even when Content is posted by third parties using your Account). Personally identifiable information submitted by you shall be subject to Meditrial’s Privacy Policy.

  • One person or legal entity may not maintain more than one Account. Any such duplicate Accounts will be terminated immediately if discovered at Meditrial’s sole discretion. Accounts registered by “bots” or other automated methods are not permitted and will be terminated immediately if discovered at Meditrial’s sole discretion.

  • Each Account is assigned a unique name and password to the User which is required to access the Account. This information is confidential and should be treated as you treat any other confidential information and in any event with a reasonable degree of care.


  • Excused Downtime” means anytime the Services are not available for access that (i) occurs during a Scheduled Maintenance Period or (ii) is caused by: (A) User’s or a Users’ telecommunications and Internet services, (B) services, software or hardware not provided and controlled by Meditrial (including third-party services, software or sites that are accessed or linked through the Services), or (C) force majeure events.

  • Scheduled Maintenance Period” means any time period during which Meditrial performs scheduled or emergency maintenance on the Services.


  • Meditrial will use commercially reasonable efforts to cause the uptime for the Services to be no less than 99.9%, excluding Excused Downtime.

  • Meditrial shall provide an advanced notice of at least two (2) business days to User for any scheduled maintenance.


  • The Support Services provided under this Agreement (the “Support Services”) will include online support available during Meditrial’s normal business hours (9 AM to 6 PM CET) with the exception of Meditrial holidays. Costs related to Support Services will be charged on hourly basis according to the customer’s contract.

  • The Support Services will be provided only for those issues forwarded to Meditrial from User’s designated staff and received by email ( User must provide Meditrial with accurate and complete information regarding each issue encountered by User. Meditrial will not be responsible for any delays or failures caused by User’s failure to abide by the requirements of this Section 3.2.

  • The Support Services are offered to User on a commercially reasonable-efforts basis only. User acknowledges that Meditrial may not be able to resolve every request for support through the Support Services. User’s exclusive remedy and Meditrial’s sole obligation for any failure to resolve a request shall be to use commercially reasonable efforts to resolve such request. In the event that the request for support is not covered by the Support Services, User may have to purchase additional services from Meditrial. Any additional services are made available upon agreement by Meditrial at Meditrial’s then-current rates.


  • Meditrial is ISO/IEC 9001 compliant to provide training and online education to Users.

  • Meditrial Academy is hosted on Google Cloud Platform and provides scalable, durable cloud storage, backup and recovery solutions.

  • Meditrial Academy is accessed through a secure internet connection (https) and makes use of Secure Sockets Layer (SSL) encryption technology to secure internet communication.

  • Meditrial shall employ generally prevalent industry security standards, protocols and practices to prevent unauthorized intrusion into or interception of data communications by unauthorized third parties in order to maintain the security and integrity of the User Information and User IDs. Meditrial shall promptly notify User in the event of any such intrusion or interception.

Principles relating to processing of personal data

According to the article 5 of GDPR any personal data which you provide to Meditrial over the Services or which is otherwise gathered via the website by Meditrial, will be:

  1. processed lawfully, fairly and in a transparent manner in relation to the data subject (‘lawfulness, fairness and transparency’);

  2. collected for specifiedexplicit and legitimate purposes and not further processed in a manner that is incompatible with those purposes; (‘purpose limitation’);

  3. adequate, relevant and limited to what is necessary in relation to the purposes for which they are processed (‘data minimization’);

  4. accurate and, where necessary, kept up to date; every reasonable step must be taken to ensure that personal data that are inaccurate, having regard to the purposes for which they are processed, are erased or rectified without delay (‘accuracy’);

  5. kept in a form which permits identification of data subjects for no longer than is necessary for the purposes for which the personal data are processed; (‘storage limitation’);

  6. processed in a manner that ensures appropriate security of the personal data, including protection against unauthorized or unlawful processing and against accidental loss, destruction or damage, using appropriate technical or organizational measures (‘integrity and confidentiality’).

Personal data processed

a. Name, address and contact details

Meditrial collects personally identifiable information (“personal data”), such as your e-mail address, name, home or work address or telephone number.
To request information or an account, you will be required to provide some personal data, by entering your information in the appropriate text fields. If you decide to fill those fields by sharing personal data related to other persons, you will be considered as an independent data controller regarding that personal data and must assume all inherent legal obligations and responsibilities. This means, among other things, that you must fully indemnify Meditrial against any complaints, claims or demands of compensation for damages which may arise from the processing of this personal data, brought by the third parties whose information you provide through the Services.

b. Browsing data
Information about your computer hardware and software is automatically collected by Meditrial. This information may include: your IP address, browser type, domain names, access times and referring website addresses. This information is used by Meditrial for the service operation, to maintain quality of the service, and to provide general statistics regarding use of the Services.

c. Special categories of personal data
Users of the Services are not requested to provide sensitive personal data. Please be aware that if you provide personal data by filling free text fields, you may inadvertently disclose more sensitive categories of personal data (e.g., but not limited to, data revealing your race or ethnic origin, political opinions, religious or philosophical beliefs or trade union membership).
Meditrial asks that you do not disclose any sensitive personal data through the Services, unless you consider this to be strictly necessary. As it is totally optional to provide this information, if you do, this action will be an explicit consent to process the personal data provided by you.
Meditrial does not use or disclose sensitive personal information, such as race, religion, or political affiliations, without your explicit consent.
Please also keep in mind that if you directly disclose personally identifiable information or personally sensitive data through Meditrial’s public message boards, you implicitly relieve Meditrial of any liability relating to the processing of this data, which may be collected and used by others.

Purpose of processing

Meditrial intends to use your personal data, collected through the Services, for the following purposes:

a. Service provision
Meditrial collects and uses your personal information to operate the Services and provide deliverables you may request.

b. Marketing
Meditrial may uses your personal data to inform you of other products or services available from Meditrial and its affiliates. Meditrial may also contact you via surveys to conduct research about your opinion of current services or of potential new services that may be offered.
The Services provide forms allowing visitors or users to submit search engine queries, questionnaires, feedback, or other information. Some of these forms may request personally identifiable information (e.g., name, address, phone number, e-mail address) for specific purposes, such as when the submitter is requesting information, an account or subscribing to a mailing list. All information submitted by visitors is voluntary.

c. Profiling
Meditrial may create a profile of you as a user of the Services, through the use of profiling cookies and by collecting and analyzing information on the preferences you select and choices you make, as well as your general activities on the Services. This profile will be used to give you information about other services which Meditrial believes you may be interested in, and to show you information and advertisements which may be relevant to you and your interests (for more details please see the paragraph “Use of cookies”).
Moreover, Meditrial keeps track of the websites and pages our customers visit within the Services, in order to determine what services are the most popular. This data is used to deliver customized content and advertising to customers whose behavior indicates that they are interested in a particular subject area.

d. Compliance
Meditrial will process your personal data to maintain appropriate business records, to comply with lawful requests by public authorities and to comply with applicable laws and regulations or as otherwise required by law.

e. Preventing misuse/fraud
Your personal data may be handled by Meditrial to prevent and detect any misuse of the Services and any fraudulent activity carried out through them.

Data retention period

The data retention period varies according to the different purposes of processing. In detail, personal data is processed for:

  • Service Provision will be kept by Meditrial for the period deemed strictly necessary to fulfil such purpose. In any case, as these personal data is processed for the provision of the services, Meditrial may continue to store this personal data for a longer period, as may be necessary to protect Meditrial’s interests related to potential liability related to the provision of the Services;

  • Marketing and Profiling will be kept by Meditrial from the moment you give your consent until the moment you withdraw the given consent. Once consent is withdrawn, personal data will no longer be used for these purposes, although it may still be kept by Meditrial, in particular as may it be necessary to protect Meditrial’s interests related to potential liability related to processing;

  • Compliance will be kept by Meditrial for the period required by the specific legal obligation or by the applicable law;

  • Preventing Misuse/Fraud will be kept by Meditrial for as long as deemed strictly necessary to fulfil these purposes.

Sharing of your personal data

The persons or entities with whom your personal data may be shared (“Recipients”) are listed below:

  • Persons authorised by Meditrial to process personal data needed to carry out activities strictly related to the provision of the services, who have undertaken an obligation of confidentiality or are subject to an appropriate legal obligation of confidentiality (e.g., Meditrial personnel);

  • Entities engaged in order to provide the services (e.g., hosting providers or e-mail platform providers);

  • Persons, companies or professional firms providing Meditrial with advice and consultancy regarding accounting, administrative, legal, tax, financial and debt collection matters related to the provision of the services;

  • Public entities, bodies or authorities to whom your personal data may be disclosed, in accordance with the applicable law or binding orders of those entities, bodies or authorities.

Meditrial will disclose your personal information, without notice, only if required to do so by law or in good faith belief that such action is necessary to:

  • protect and defend the rights or property of Meditrial;

  • act under exigent circumstances to protect the personal safety of users of Meditrial, or the public

Transfer of personal data

The personal data collected by Meditrial may be transferred for the above-mentioned processing purposes to any third parties to whom Meditrial subcontracts all or part of this processing. This may, for instance, include e-marketing service providers, hosting providers and any other relevant roles. Note that your personal data will never be sold to a third party.
In the event of transfer of personal data to a country outside of the European Economic Area, Meditrial systematically ensures the application of an adequate level of protection of such personal data by means approved by applicable data protection legislation. In particular, Meditrial implements appropriate safeguards to ensure the lawfulness and security of these personal data transfers, such as by relying on adequacy decisions from the European Commission, standard data protection clauses adopted by the European Commission, or other safeguards or conditions considered adequate to the transfer at hand.
It is important to underline that, as well as Meditrial, Google has developed a Privacy policy compliant with the GDPR provisions and it has implemented appropriate measures to protect the processed personal data.

Meditrial Academy Users’ rights

With regard to the processing of your personal data, Meditrial acknowledges the following rights to you:

  • the right to request access to, rectify or erase personal data and/or request processing restrictions;

  • the right to object to processing;

  • the right to data portability;

  • the right to withdraw their consent to data processing at any time, without affecting the lawfulness of processing based on consent before its withdrawal;

  • the right to lodge a complaint with a Supervisory Authority in particular in the EU Member State of their habitual residence, place of work or place of the alleged infringement, if they consider that the processing of personal data relating to them infringes the GDPR.

Security of your personal information

Meditrial secures your personal information from unauthorized access, use or disclosure. Meditrial secures the personally identifiable information you provide on computer servers in a controlled, secure environment, protected from unauthorized access, use or disclosure.

Use of cookies

The Services use “cookies” to help you personalize your online experience. A cookie is a text file that is placed on your hard disk by a web page server. Cookies cannot be used to run programs or deliver viruses to your computer. Cookies are uniquely assigned to you, and can only be read by a web server in the domain that issued the cookie to you.
One of the primary purposes of cookies is to provide a convenience feature to save you time. The purpose of a cookie is to tell the web server that you have returned to a specific page. For example, if you personalize the Services pages, or register on them, a cookie helps Meditrial to recall your specific information on subsequent visits. This simplifies the process of recording your personal information. When you return to the same Services, the information you previously provided can be retrieved, so you can easily use the Services features that you customized.
You have the ability to accept or decline cookies. Most web browsers automatically accept cookies, but you can usually modify your browser setting to decline cookies if you prefer. If you choose to decline cookies, you may not be able to fully experience the interactive features of the Services.

Consent to personal data processing (Meditrial Academy Users)

As a Meditrial Academy User you will be required to click a box in order to provide your consent to personal data processing for the above-mentioned purposes.
